By using, reproducing, modifying, distributing, performing, or displaying any portion or element of the Thrifty AI Materials, you agree to be bound by this Thrifty AI Open Model License (the “Agreement”). This Agreement applies only to those materials that Thrifty AI expressly designates as being made available under this Agreement. It does not apply to Thrifty Studio, the Thrifty AI APIs or SDKs as hosted services, managed deployments, Thrifty Agent, or any other Thrifty AI product or service, which are governed by our Terms & Conditions, Platform agreement or other applicable agreement.
“Artificial Human” means an AI-driven digital character, avatar or agent that presents with a human-like face, body, voice or persona and interacts with people through text, voice or video, whether in real time or through pre-generated content.
“Avatar Assets” means the avatar and character assets that Thrifty AI distributes under this Agreement, including character designs, 3D meshes, rigs, textures, facial and body animation data, expression sets, reference imagery and related appearance files.
“Contribution” shall mean any work of authorship, including any modification or addition to the Thrifty AI Materials or derivative works thereof, that is intentionally submitted to Thrifty AI for inclusion in the Thrifty AI Materials by the copyright owner or by an individual or legal entity authorized to submit on behalf of the copyright owner. For the purposes of this definition, “submitted” means any form of electronic, verbal, or written communication sent to Thrifty AI or its representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, Thrifty AI for the purpose of discussing and improving the Thrifty AI Materials, but excluding communication that is conspicuously marked or otherwise designated in writing by the copyright owner as “Not a Contribution.”
“Documentation” means the specifications, manuals, model cards, usage notes and documentation accompanying the Thrifty AI Materials provided by Thrifty AI or as otherwise distributed by Thrifty AI on thriftyai.com or through the repository or channel from which you obtained the Thrifty AI Materials.
“End User” means any natural person who views, listens to or interacts with an Artificial Human, or with any other output, application or service, that is built with or incorporates the Thrifty AI Materials or any derivative works thereof.
“Licensee,” “you,” or “your” means the individual or legal entity exercising the permissions granted by this Agreement.
“Commercial” means primarily intended for or directed towards commercial advantage or monetary compensation.
“Sample Code” means the SDK sample code, example applications, code snippets, templates and integration examples that Thrifty AI distributes under this Agreement.
“Thrifty AI Model” means any machine-learning model and software and algorithms distributed by Thrifty AI under this Agreement, including models for speech, voice, facial animation, rendering, vision, language or conversation, together with machine-learning model code, trained model weights, inference-enabling code, training-enabling code, fine-tuning enabling code, and other elements of the foregoing.
“Voice Assets” means the synthetic voices, voice models, voice embeddings, speaker profiles and audio samples that Thrifty AI distributes under this Agreement.
“Thrifty AI Materials” shall mean the applicable Thrifty AI Model, Avatar Assets, Voice Assets, Sample Code and related Documentation that Thrifty AI expressly makes publicly available under this Agreement.
“Thrifty AI” or “we” means Thrifty AI, a company with registration number [Company registration number] and its registered office at [Registered address].
Subject to the terms of this Agreement, Thrifty AI grants to you a non-exclusive, worldwide, non-transferable, and royalty-free limited license to use, reproduce, distribute, copy, modify, and create derivative works of the Thrifty AI Materials for non-Commercial purposes (the “License”).
The License is subject to the restrictions in Section 5 (Artificial Human Restrictions). If the Documentation for a particular item of the Thrifty AI Materials specifies additional terms or restrictions (for example, a narrower permitted use for a specific Avatar Asset or Voice Asset), those terms apply to that item in addition to this Agreement.
If you distribute or make the Thrifty AI Materials, or any derivative works thereof, available to a third party, you must: (i) provide a copy of this Agreement to such third party; (ii) cause any modified files to carry prominent notices stating that you changed the files; (iii) retain in all copies of the Thrifty AI Materials that you distribute the following attribution notice within a “Notice” text file distributed as a part of such copies: “Copyright Thrifty AI. All Rights Reserved. The Thrifty AI Materials are provided under and subject to the Thrifty AI Open Model License”; (iv) ensure that your use of the Thrifty AI Materials complies with applicable laws and regulations (including trade compliance laws and regulations) and Thrifty AI’s Acceptable Use Policy; and (v) require the third party, as a condition of its use, to comply with the restrictions in Section 5 (Artificial Human Restrictions).
You may add your own intellectual property statement to your modifications of the Thrifty AI Materials and, except as set forth in this Section, may provide additional or different terms and conditions for use, reproduction, or distribution of the Thrifty AI Materials or derivative works thereof as a whole, provided your use, reproduction, modification, distribution, performance, and display of the Thrifty AI Materials or derivative works thereof otherwise complies with the terms and conditions of this Agreement. Any additional or different terms and conditions you impose must not conflict with the terms of this Agreement and in the event of a conflict, the terms and conditions of this Agreement shall govern over any such additional or different terms and conditions.
The License granted to you under this Agreement is for non-Commercial purposes only. For any use of the Thrifty AI Materials for Commercial purposes, you must request a license from Thrifty AI, which Thrifty AI may grant to you in its sole discretion, and you are not authorized to exercise any of the rights under this Agreement unless or until Thrifty AI otherwise expressly grants you such rights. If you receive the Thrifty AI Materials or any derivative works thereof from a direct or indirect licensee as part of an integrated end-user product, then this Section 4 and any non-Commercial limitation to the License granted under this Agreement will not apply to you. Section 5 (Artificial Human Restrictions) continues to apply in all cases.
Because the Thrifty AI Materials can be used to create Artificial Humans and synthetic likenesses and voices, you must not use the Thrifty AI Materials or any derivative works thereof, and must not permit any third party to use them, to:
You are solely responsible for obtaining and documenting any consents, releases and rights required for the likenesses, voices, content and data you use with the Thrifty AI Materials. Concerns about misuse of the Thrifty AI Materials may be reported to trust@thriftyai.com or through our Trust & Safety page.
Unless you explicitly state otherwise, any Contribution intentionally submitted for inclusion in the Thrifty AI Materials by you to Thrifty AI shall be under the terms and conditions of this Agreement, without any additional terms or conditions. You must not submit any Contribution that contains the likeness or voice of a real person unless you have that person’s documented consent to its inclusion and distribution under this Agreement. Notwithstanding the above, nothing herein shall supersede or modify the terms of any separate license agreement you may have executed with Thrifty AI regarding such Contributions.
UNLESS REQUIRED BY APPLICABLE LAW, THE THRIFTY AI MATERIALS AND ANY OUTPUT AND RESULTS THEREFROM ARE PROVIDED ON AN “AS IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, AND THRIFTY AI DISCLAIMS ALL WARRANTIES OF ANY KIND, BOTH EXPRESS AND IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING THE APPROPRIATENESS OF USING OR REDISTRIBUTING THE THRIFTY AI MATERIALS AND ASSUME ANY RISKS ASSOCIATED WITH YOUR USE OF THE THRIFTY AI MATERIALS AND ANY OUTPUT AND RESULTS.
IN NO EVENT WILL THRIFTY AI OR ITS AFFILIATES BE LIABLE UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, NEGLIGENCE, PRODUCT LIABILITY, OR OTHERWISE, ARISING OUT OF THIS AGREEMENT, FOR ANY LOST PROFITS OR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY OR PUNITIVE DAMAGES, EVEN IF THRIFTY AI OR ITS AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF ANY OF THE FOREGOING.
This Agreement does not grant permission to use the trade names, trademarks, service marks, or product names of Thrifty AI, except as required for reasonable and customary use in describing the origin of the Thrifty AI Materials and reproducing the content of the NOTICE file. You must not present any Artificial Human built with the Thrifty AI Materials as an official Thrifty AI character or as endorsed by Thrifty AI.
Subject to Thrifty AI’s ownership of Thrifty AI Materials and any derivative works thereof, with respect to any derivative works and modifications of the Thrifty AI Materials that are made by you, as between you and Thrifty AI, you are and will be the owner of such derivative works and modifications.
If you institute litigation or other proceedings against Thrifty AI or any entity (including a crossclaim or counterclaim in a lawsuit) alleging that the Thrifty AI Materials, or any portion thereof, infringes the intellectual property or other rights owned or licensable by you, then the License and any other rights granted to you under this Agreement shall terminate as of the date such litigation or claim is filed or instituted. You will indemnify and hold harmless Thrifty AI from and against any claim by any third party arising out of or related to your use or distribution of the Thrifty AI Materials, including any claim that your use violated a person’s rights of publicity, personality, likeness, voice or privacy.
The term of this Agreement will commence upon your access to the Thrifty AI Materials and will continue in full force and effect until terminated in accordance with the terms and conditions herein. Thrifty AI may terminate this Agreement if you are in breach of any term or condition of this Agreement. Upon termination of this Agreement, you shall delete and cease use of the Thrifty AI Materials. Sections 7, 8, 9, and 11 shall survive the termination of this Agreement.
This Agreement will be governed and construed under the laws of [Governing jurisdiction] without regard to choice of law principles, and the UN Convention on Contracts for the International Sale of Goods does not apply to this Agreement. The courts of [Venue] shall have exclusive jurisdiction of any dispute arising out of this Agreement.
